These Terms and Conditions govern access to and use of LabExpra, operated by QALYTISA Technologies Private Limited (“Company”, “we”, “our”, or “us”). By accessing or using the Platform, users agree to these Terms. If a user does not agree to these Terms, they must stop using the Platform and discontinue access to its services.
1. Nature of Service
LabExpra is a research workflow and laboratory management platform intended to assist with:
- experiment documentation
- inventory management
- process tracking
- analytics and reporting
- project management
- collaborative research activities
- The Platform provides software tools only and does not provide scientific, regulatory, legal, clinical, or engineering advice.
2. User Accounts
Users agree to:
- provide accurate registration information
- maintain secure credentials
- restrict unauthorized access to their account
- promptly report suspected account compromise
Users are responsible for activities occurring under their accounts.
3.Institutional Accounts & Permissions
Where accounts belong to universities, laboratories, companies, or research groups:
- institutional administrators may manage permissions
- designated supervisors or PIs may access group-level information according to configured permissions
- institutions are responsible for internal access governance
4. Acceptable Use
Users shall not:
- misuse or interfere with platform operation
- upload malicious software or harmful code
- attempt unauthorized access to systems or accounts
- use the platform for unlawful activities
- upload material violating intellectual property rights
- intentionally share confidential information without authorization
Violation may result in suspension.
5. Intellectual Property of Platform
All rights relating to:
- LabExpra software
- interface designs
- workflows
- source code
- branding
- documentation
- trademarks
remain property of QALYTISA Technologies Private Limited.
Use of the Platform does not transfer ownership of platform technology.
6. User-Generated Content
Users remain responsible for content uploaded, entered, or generated through the Platform. Users warrant they possess necessary rights to upload such content.
7. Experimental & Scientific Responsibility
Users remain solely responsible for:
- experimental design
- scientific interpretation
- regulatory compliance
- safety procedures
- publication decisions
- funding submissions
Use of LabExpra does not constitute scientific validation.
8. Service Availability & Updates
Features may be modified, suspended, improved, or discontinued without permanent availability guarantees. The Company may deploy updates, maintenance, or feature changes.
9. Subscription, Billing & Future Paid Services
If paid plans are offered:
- pricing may vary by subscription tier
- taxes may apply
- late or failed payments may affect access
- fees may change with notice
- subscription features, premium modules, integrations, add-on services, and usage limits may be added, modified, restricted, or discontinued at any time
- fees may change from time to time at the Company’s discretion
Unless stated otherwise, payments are non-refundable.
10. Beta Features & Experimental Modules
Certain modules may be released as:
- beta
- preview
- experimental
Such features may contain limitations, interruptions, or inaccuracies.
11. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
- indirect losses
- publication delays
- funding losses
- loss of opportunity
- research interruptions
- reputational damages
- consequential damages arising from platform use
Liability, where applicable, shall be limited to amounts paid for services during the preceding subscription period.
12. Indemnification
Users agree to indemnify and hold harmless the Company against claims arising from:
- misuse of the Platform
- violation of laws
- infringement of third-party rights
- unauthorized uploaded content
13. Suspension & Termination
The Company may suspend or terminate access where users:
- violate Terms
- create security risks
- engage in unlawful activity
- misuse services
Users may discontinue use at any time.
14. Force Majeure
The Company shall not be liable for delays or failures caused by events beyond reasonable control including:
- natural disasters
- internet failures
- cloud provider outages
- cyberattacks
- government restrictions
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Subject to applicable mandatory laws, courts located in Hyderabad, Telangana, India shall have jurisdiction over disputes arising from or relating to use of the Platform.
16. Severability
If any part of these Terms is found to be invalid or unenforceable under applicable law, the remaining sections will continue to be valid and enforceable. Any invalid provision shall be interpreted or adjusted, where possible, to reflect its original purpose while complying with applicable law.
17. Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements, constitute the complete agreement governing Platform use.
